1. Overview

These Terms of Service (“Terms”) govern your use of the Mibrex website and any services provided by Mibrex (“we,” “our,” or “us”), a software development company registered in Cluj-Napoca, Romania.

By accessing our website or engaging our services, you agree to these Terms.

2. Services

Mibrex provides custom software development, consulting, and related technology services. Specific deliverables, timelines, and terms for each engagement are defined in individual Statements of Work (SOW) or Service Agreements executed between Mibrex and the client.

3. Intellectual Property

  • Client IP: Unless otherwise agreed, custom code developed for a client becomes the client’s intellectual property upon full payment.
  • Mibrex Platform: Our pre-built Accelerator Modules and internal tools remain the intellectual property of Mibrex. Clients receive a license to use these modules within their project as defined in the Service Agreement.
  • Open Source: Any open-source components used in projects are subject to their respective licenses.

4. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Specific NDA terms may be defined in the Service Agreement.

5. Payment Terms

Payment terms are defined in individual Service Agreements. Standard terms include milestone-based payments with net-30 invoicing unless otherwise agreed.

6. Warranties and Liability

  • Mibrex delivers services with professional care in accordance with our ISO 9001 quality management standards
  • We provide a warranty period for defect resolution as defined in each Service Agreement
  • Mibrex’s liability is limited to the fees paid for the specific services giving rise to the claim

7. Termination

Either party may terminate an engagement as specified in the Service Agreement. Upon termination, the client receives all deliverables completed up to the termination date, subject to payment of fees due.

8. Governing Law

These Terms are governed by the laws of Romania and the European Union. Any disputes shall be resolved in the courts of Cluj-Napoca, Romania, unless otherwise agreed.

9. Changes to Terms

We may update these Terms periodically. Changes will be posted on this page with an updated revision date.
